Hi Scott - The reason is because it is not planar. If it was true planar the all you would see is a flat line in all other views. With where you are, and it looks boat like, i would do the the hull curves next and then loft them.
Or course! Kinda feel stupid. I saw it as a closed curve but not as a planer surface. This is part of a file that was given to me that I'm trying to make 3D printable where it's all curves and joined surfaces. Lesson learned.
